“Proofpoint’s platform strategy is compelling, but successful integration and differentiation will determine its value.”

Proofpoint, which is owned by Thoma Bravo, agreed to acquire the data security specialist Varonis for around USD6.3 billion on 15 October 2026. This is the largest of the seven acquisitions that Proofpoint has made since it was taken private in 2021, and it signals a clear move beyond its email security roots towards a broad data and AI security platform.

Proofpoint will pay USD49.75 per share in cash. This represents a 52% premium to Varonis’s closing share price on 22 June 2026 (the last full trading day before rumours of a sale emerged) and values the company at around 8.4 times its last-12-months (LTM) revenue and 53 times its LTM free cash flow.1

The deal also reflects a broader shift in enterprise security priorities. AI is reducing the time available for businesses to detect and contain attacks, while AI agents are gaining access to more corporate data. Businesses therefore increasingly favour integrated platforms that provide visibility and control over sensitive data use rather than separate point products.
